POSITION OVERVIEW

We have exciting full-time, permanent opportunities for experienced applicants with role relevant experience operating as Legal & Contracts Advisor / Senior Legal & Contracts Advisor / Legal Counsel.  Working with a busy team, you will be part of a 24/7 global business which supports in-role development and future career aspirations.

The roles support the Legal and Contracts function on activities across our UK and Global IRM Business Unit.  This role enjoys a challenging and diverse remit with responsibility across a broad range of products and services.

Our ideal candidate will have established demonstrable experience in the efficient interpretation of contractual documentation and the implementation of contractual and commercial strategies in support of both tendering and operational activities. 

Role and Responsibilities

  • Assist in the assessment of client ITT documents.  Identify and develop appropriate commercial strategies and undertake a contractual aligned to the defined commercial strategy and principles.
  • Source specialist input from colleagues across the business, and external advisors, as required.
  • Identify risks and deviations from Subsea 7’s tendering and contracting principles and where necessary obtain senior management approval.
  • Identify gaps and interdependencies related contractual agreements e.g. partnering agreements, vessel charter parties and sub-contracts.
  • Preparation and negotiation of contractual Qualifications with new and existing clients.
  • Conduct the qualification, negotiation, preparation, and administration of Bank Guarantees, Parent Company Guarantees and Insurance requirements.
  • Prepare contract and risk summaries to ensure that all relevant project personnel are aware of Contractual obligations, risks and objectives.
  • Negotiate to resolution contractual and financial disputes on live projects, consulting with and advising Commercial managers.
  • Support the wider Supply Chain Management team to ensure that any project Subcontracts/Procurement adheres to the supplier contracting principles.
  • Participate in tender evaluation and negotiation and subcontract awards including Vessel Charter Parties.
  • Review, draft, qualify and negotiate various types of contractual documentation including frame agreement, project contracts, subcontractor, standard terms, confidentiality and non-disclosure agreements and letters of intent.
  • Maintenance and adherence to all relevant policies, processes and procedures contained within Subsea 7’s Business Management System.
  • Devise and support departmental and business improvement and initiatives.
  • Active participation in the monitoring and enforcement of Subsea 7 compliance programme.
  • Promote Subsea 7’s values and uphold the standards and principles set out in Subsea 7’s Code of Conduct.
  • Undertake other associated adhoc duties, as required.

PROFESSIONAL QUALIFICATIONS / EXPERIENCE

Essential

  • Degree educated in Law or relevant Business-related qualification.
  • Oil and Gas and/or Construction industry experience.
  • Commercially focused with a sound knowledge of Contract Law and the ability to draft in a legal / contractual context.

Desirable

  • Subsea Industry experience.
  • Experience working within a Contracts or Legal department.

  • Proactively devises, promotes and ensures adherence to HSEQ, Company and legislative requirements.
