Within Africa, Middle East & Caspian region (AMEC), we safely execute Subsea and Conventional projects which connect seabed wellhead infrastructures to surface facilities such as platforms and floating production systems. We are actively present in a significant number of countries in Africa, Europe, Caspian Sea, Middle East and Asia.

Role Overview

Subsea 7 – AMEC Region currently has an opportunity for a Contract Specialist to join the team. The role includes strong interactions with the Operational teams and support to the day-to-day management of contractual activity for projects in the Africa & Caspian Region.

The ideal candidate will be able to demonstrate excellent organisational skills and attention to detail, as well as interpersonal and communication skills, autonomy and leadership to interact with business functions and Tendering and Project Teams.

Contract Management experience is desired but we will consider Candidates with estimating, cost control, legal & contracts background eager to develop into a Contract Specialist role with the support of the existing team of Contract Managers.

 

Roles and Responsibilities

  • Commercial benefits and risk: Qualifying and making recommendations on main contract and purchase agreements to maximise commercial benefits and manage risk;
  • Substantiate Contractual entitlements: Creating and compiling evidence to substantiate contractual entitlements;
  • Change management: Applying change management principles and procedures for identifying and supporting contract change recoveries;
  • Contract obligations: Meeting contract requirements for ensuring all contract obligations to clients/Subsea 7/vendors are met
  • Understand and draft legal documents: Drafting in a legal / contractual context;
  • Contractual claims: Managing contractual and insurance claims handling process and associated claims quantification, presentation and settlement;
  • Financial awareness: Developing and maintaining understanding of commercial issues affecting Subsea 7;
  • Liabilities/indemnities/warranties/MHHA: awareness and administration of liabilities and indemnity regimes, warranties and mutual hold harmless agreements ;
  • Stakeholder agreement: Engaging stakeholders to identify and resolve differences through negotiation to reach a mutually agreed solution;
  • Bidding, contracting and subcontracting: Uphold bidding and contracting principles, subcontracting principles and associated deviation processes;
  • Subsea 7 and general industry awareness: Developing and maintaining organisational, competitive environment and key client awareness.
  • Preparation of pre-subcontract documents
  • Contracts and Documentation: Preparation of contracts including NDA’s, Main Contract Flowdowns, Frame Agreements etc
  • Project correspondence; preparation of formal correspondence to clients and subcontractors/suppliers;
  • Familiarity with bidding and Contracting Principles, Subcontracting principles and deviation process;
  • Legal framework: for applying the legal framework governing all areas of Subsea 7's business;
  • Substantive law and analysis: of researching substantive law and providing analysis;
  • Compliance: of Ensuring compliance with business ethics, Subsea 7's code of business conduct and anti-corruption laws;
  • Corporate governance: managing corporate governance through the administration of legal entities, including their creation and dissolution;
  • Advice: interact with other expert departments to provide advice and assistance on corporate, contractual and any other matters ;
  • Agreements: establishing and maintaining all relevant agreements, including intercompany agreements;
  • Financial and tax advice: giving financial and tax advice to mitigate exposure including structuring contractual relationships and drafting/qualifying contract clauses;
  • Guarantee, Bonds and Financing: providing advice with respect to parent company guarantees, bonds and financing, and assisting with related compliance initiatives;
  • Contract law: Applying appropriate local contract law.
  • Project-specific partnering: Drafting and administration of project specific partnering agreements and applicable legal constraints including competition laws;
  • Risk identification and management: Identifying and handling risks through insurance or avoidance by indemnity or waiver of liability;
  • Contractual qualifications: Formulating and qualifying contractual provisions complying with our insurance covenants;
  • Insurances: Arranging statutory insurance requirements applicable to Subsea 7;
  • Conflict of laws: Uphold conflict of Laws principles to ensure appropriate choice of law and forum for dispute resolution and enforcement of awards including obtaining injunctions.

  • Operate within the Business Code of Conduct
  • Operate according to Subsea 7's Management Principles

REPORTING LINES

  • Africa & Caspian Functional reporting line to Legal & Contracts Director
  • Operational reporting line into Projects

Specified Qualifications for position:

Relevant previous experience at an appropriate level in junior to mid-level capacity in similar environment.

Continuing Professional Development:

Candidates should have an interest in the Energy or Offshore Construction field be able to demonstrate and or show willingness to developing themselves as appropriate to the job role.

Skills 

  • Fluency in English is essential for this role
  • Competency in Microsoft Office is essential.
  • Rigorous organizational and communication skills are essential
  • Ability to identify and effectively prioritise workload and key issues of self and team within a dynamic work environment
  • Knowledge of the offshore, energy or construction industry would be advantageous dynamic
  • Experience of operating within an international arena will be a distinct advantage.
