KEY RESPONSIBILITIES FOR THE ROLE INCLUDE:

 

  • Review and qualify general and special conditions contained within client invitations to tender for Subsea construction contracts;

  • Review and qualify other administrative requirements set out in invitations to tender appendixes;

  • Identify and advise tender team on steps to mitigate potential contractual and commercial risks;

  • Present contractual risk summary to management team at various levels;

  • Attend meetings with prospective clients and major suppliers to negotiate and arrive at acceptable terms and conditions;

  • Review and revise confidentiality agreements;

  • Review, prepare and qualify mutual hold harmless agreements;

  • Review wording of bank guarantees/parent company guarantees and prepare qualifications as required;

  • Prepare and arrange for execution of parent company guarantees, other administrative requirements in tenders and ad hoc matters;

  • Assist in the preparation of flow down for subcontracts. Approve flow down review;

  • Drafting, reviewing and revising terms and conditions of general commercial, frame and service contracts

  • Providing guidance to contracts, supply chain and project personnel on contractual wording/risk mitigation and advising on contractual interpretation;

  • Review qualifications and subcontract mechanism for invoicing, change orders, payment and unit rates;

  • Handling corporate governance and compliance matters, including competition, UK Bribery Act and US FCPA matters;

  • Handling and managing dispute resolutions, including mediation, arbitration and litigation matters, and liaising with external counsels;

  • Advising and making recommendations to management team on legal, commercial and strategic issues;

  • Providing company secretarial services for Asia Pacific country legal entities, including creating/closing of said legal entities;


KEY QUALIFICATION AND EXPERIENCE:

 

  • Bachelor’s degree in law.

  • Preferably called to the Malaysian Bar or other Commonwealth jurisdiction.

  • 3-5 years of PQE, either in private practice or as in-house counsel; 

  • Strong commercial acumen, with a solutions-orientated approach, and excellent communication skills, both written and oral;

  • Confident with strong interpersonal skills and ability to work well with large and diverse teams, including upper management.

  • Proficient in setting priorities and managing expectations with respect to deliverables and deadlines.

  • Self-initiated and able to work independently and with minimum supervision.

  • A good team player.

  • Proficiency in IT including Microsoft Teams, Sharepoint, OneDrive
