Title: Legal Counsel

Overview
Subsea7 is looking for a proactive and commercially savvy Legal Counsel to join our team in Kuala Lumpur, Malaysia. In this pivotal role, you’ll provide strategic legal support across high-value subsea engineering and construction projects, helping us navigate risk, negotiate contracts, and drive success in the offshore energy sector.
Reporting into the Country Manager, you will work closely with tender, project, and supply chain teams, advising on everything from contract negotiation and compliance to dispute resolution and corporate governance.
What will you be doing?
- Review and qualify general and special conditions contained within client invitations to tender for subsea engineering, procurement, construction and installation contracts;
- Identify and advise tender teams on steps to mitigate potential contractual and commercial risks;
- Present contractual risk summary to the key stakeholders;
- Attend meetings with prospective clients and major suppliers to negotiate and arrive at acceptable terms and conditions;
- Review and negotiate confidentiality agreements; parent company guarantees and subcontracts;
- Drafting, reviewing and negotiating terms and conditions of general commercial, frame and service contracts;
- Providing guidance to contracts, supply chain and project personnel on contractual wording/risk mitigation and advising on contractual interpretation;
- Review qualifications and subcontract mechanism for invoicing, change orders, payment and unit rates;
- Handling corporate governance and compliance matters, including competition, UK Bribery Act and US FCPA matters;
- Handling and managing dispute resolutions, including mediation, arbitration and litigation matters, and liaising with external counsel;
- Advising and making recommendations to management team on legal, commercial and strategic issues;
- Providing company secretarial support for legal entities, including closing of entities and branch offices.
What experience would we like you to have?
- Bachelor’s degree in law and called to the Malaysian Bar or other Commonwealth jurisdiction;
- 5-10 years of PQE, either in private practice and/or in-house experience;
- Experience in offshore/subsea oil and gas contracting, either gained in-house or in reputable law firm will be an added advantage;
- Strong commercial acumen, with a solutions-orientated approach, and excellent communication skills, both written and oral;
- Proficient in setting priorities and managing expectations with respect to deliverables and deadlines.
- Self-initiated and able to work independently and with minimum supervision.
