Title: Junior Legal Counsel

Overview
Subsea7 is looking for a motivated, newly qualified Junior Legal Counsel to join our corporate legal team on a full-time, permanent basis, located in our Sutton office. This role offers a challenging and diverse remit, providing opportunities for development and career growth within a fast-paced global organisation.
Occasional UK or overseas travel may be required to support our business activities.
What will you be doing?
Responsibilities of the role will increase in line with experience. Tasks to be undertaken will change daily and require you to maintain flexibility and openness to ‘have a go’. By way of example, tasks may include:
- Drafting increasingly complex legal documents / contracts from existing templates or using precedents / senior guidance. For example, extension of loan facilities, intercompany agreements, etc.
- Supporting the Company Secretary with the day-to-day administration of the Company: Assisting in drafting and reviewing corporate/core documents, including detailed board meeting minutes/AGM resolutions and preparation of meeting materials.
- Analysing certain provisions (such as in Shareholder Agreements) and helping to draft advice to the business on their interpretation.
- Playing a junior role on transactions. For example, drafting confidentiality agreements, ancillary documents, post transaction filings etc.
- Assisting with research on Local Content matters.
- Assisting with the liquidation of certain entities in the group, collaborating with other departments and ensuring deadlines for receiving content are met.
- Supporting the maintenance of Corporate databases, including content upload.
- Making filings / liaising with Company Secretaries to make filings with Company Registrars across the globe, ensuring these are monitored and followed up until completion.
- Tracking board meetings / agendas /minutes / notices / resolutions and supporting the creation and maintenance of updated records.
- Co-ordinating with cross functional teams to receive their advice and input on certain projects.
- Preparing and/or reviewing legal documents for signature and co-ordinating signatures.
- Where relevant and pertaining to the listed entity, supporting compliance with Market Abuse Regulation (MAR) and listing rules, including the maintenance of insider lists, and drafting standard stock exchange announcements.
- Researching and advising on governance, legal and regulatory obligations.
What experience would we like you to have?
- You must be a qualified lawyer (ideally in the UK, but other jurisdictions may be acceptable).
- You must have demonstrable role relevant experience - Having experience in merger and acquisition would be a significant advantage.
- You must be commercially focused with a sound legal knowledge of Contract Law and the ability to draft in a legal / contractual context.
- You must be accustomed to transaction management.
- You must be competent in the use of the MS Suite; Word, Excel, PowerPoint etc.
- Excellent communication skills, both verbal and written, with the ability to build and maintain strong business relationships at all levels and translate to a non-legal audience.
- Can engage, influence and negotiating at all levels with a various range of stakeholders.
- Flexible and adaptable to meet the evolving needs of a 24/7 global business.
- Excellent attention to detail paired with first-rate analytical skills.
- Accustomed to report writing and presenting.
- Excellent planning and organising skills, accustomed to meeting multiple and sometimes conflicting deadlines.
